Welcome to Video Cutter AI. These Terms of Service ("Terms") govern your access to and use of the Video Cutter AI website, platform, and AI-powered video clipping services (collectively, the "Service"), operated by Video Cutter AI. By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Acceptance of Terms

By accessing or using Video Cutter AI, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Video Cutter AI provides an AI-powered platform that allows users to upload long-form videos or submit video URLs and automatically generate short-form video clips with captions, reframing, and other enhancements optimized for social media platforms.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

3. Eligibility

You must be at least 13 years of age to use the Service. By using Video Cutter AI, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.

4. User Accounts

You may use certain features of Video Cutter AI without creating an account. However, some features may require you to provide information or create a profile. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.

5. Acceptable Use

You agree to use Video Cutter AI only for lawful purposes and in accordance with these Terms. You agree not to:

  • Upload, submit, or process any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
  • Upload, submit, or process content that infringes any patent, trademark, trade secret, copyright, or other intellectual property rights of any party.
  • Use the Service to generate or distribute spam, unsolicited commercial content, or malware.
  • Attempt to gain unauthorized access to, interfere with, or disrupt the Service, its servers, or networks.
  • Use any automated means (bots, scrapers, crawlers) to access or extract data from the Service without our prior written consent.
  • Use the Service in a manner that could overburden, impair, or damage our infrastructure.
  • Violate any applicable local, national, or international laws or regulations.

6. User Content

6.1 Ownership

You retain all ownership rights to the videos and other content you upload or submit to Video Cutter AI ("User Content"). We do not claim ownership of your User Content.

6.2 License to Process

By uploading or submitting User Content to Video Cutter AI, you grant us a limited, non-exclusive, royalty-free license to process, analyze, and generate derivative works (clips) from your User Content solely for the purpose of providing the Service to you. This license is automatically terminated when your User Content is deleted from our systems.

6.3 Responsibility

You are solely responsible for your User Content and the consequences of uploading, submitting, or processing it. You represent and warrant that you own or have the necessary rights and permissions to use and authorize us to process your User Content as described in these Terms.

6.4 Content Monitoring

We reserve the right, but have no obligation, to monitor, review, or remove User Content at our sole discretion. We may remove content that we believe violates these Terms or applicable law.

7. Intellectual Property

The Video Cutter AI platform, including its name, logo, design, code, AI algorithms, and all related materials, are owned by or licensed to Video Cutter AI and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from our platform without our prior written consent.

8. Third-Party Services

Video Cutter AI may integrate with or link to third-party websites, services, or APIs (such as YouTube for video URL imports). We do not endorse, control, or assume responsibility for any third-party services. Your use of third-party services is at your own risk and subject to their respective terms and policies.

9. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, Video Cutter AI disclaims all warranties, express or implied, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Warranties that the Service will be uninterrupted, error-free, secure, or available at all times.
  • Warranties regarding the accuracy, quality, or suitability of AI-generated clips and outputs.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Video Cutter, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with:

  • Your use of or inability to use the Service.
  • Any content or conduct of any third party on the Service.
  • Unauthorized access, use, or alteration of your content or data.
  • Any bugs, viruses, or other harmful code transmitted through the Service.

Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or one hundred US dollars ($100.00) if you have not made any payments.

11. Indemnification

You agree to indemnify, defend, and hold harmless Video Cutter AI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with:

  • Your use of the Service.
  • Your User Content.
  • Your violation of these Terms.
  • Your violation of any third-party rights, including intellectual property rights.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive, including ownership, warranty disclaimers, and limitations of liability.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the federal or state courts located in California.
